Official Rules for the Smalentine Smencils Twitter Contest (January 2012)

Rules for Contest: By participating in this Contest, Participants agree to be bound by these Official Rules and the final decision of the Contest. Decisions by The Smencil Company are binding and final in every respect.

Eligibility: The Smalentine Smencils Twitter Contest is open to all legal U.S. residents physically residing in the United States. This Contest is subject to all applicable federal, state and local laws. Void where prohibited. A Participant is limited to one prize from The Smencil Company from this contest. Employees, and family members of employees and any other individuals otherwise compensated by The Smencil Company or any of its affiliates or subsidiaries are not eligible to participate in this Smalentine Smencils contest. There is no purchase necessary to participate in this Contest. In no event will Sponsors be liable for more prizes than outlined in the Contest Details. Prizes are non-transferable and non-negotiable.

Contest Period: The Contest Period begins January 6th, 2012 and ends February 6th, 2012. A winner will be selected using a random number generator.

Contest Details: The Smencil Company is hosting a Twiter Contest. Eligible Participants must have an operational Twitter account and do two things: (1) choose the “follow” button on the Smencils Twitter page and (2) Publish a tweet using the #SmalentineSmencils hash tag. Participants must publish a tweet through traditional methods available to all Twitter account holders, and if methods are created or used by a Participant that would “game” the system or automatically tweet through an application, that Participant will be disqualified. Late submissions after the Contest Period has concluded will also not be eligible for the prize. There will be no more than one winner. The maximum value is $60.00 and listed for informational purposes only and is not redeemable for cash. Sponsor is not responsible for any problems, bugs, or malfunctions Participants encounter when seeking to enter this Contest.

Publicity: Sponsor reserves the right to use for publicity purposes prior to, during, or after the Contest Period, in any media, the Participant’s name, likeness, and city name throughout the world, in perpetuity, without any compensation or prior review, unless specifically prohibited by law.

Taxes: It is the sole responsibility of the winning Participant to pay all federal, state, and local taxes in connection with the prize.

Privacy Policy: Participant membership information will be handled in compliance with The Smencil Company’s Privacy Policy and Terms of Use Policy at http://www.smencils.com/privacy.html

Limitation of Liability, Governing Law, and Venue: Participant agrees to indemnify, defend, and hold harmless Sponsor from any loss, liability, damage, or costs, including court costs and legal fees, which result from the Participant’s involvement and participation in the Contest or Participant’s receipt or use of the prize. In no event shall The Smencil Company be liable to Participant for special, indirect, incidental, or consequential damages, including without limitation, loss of use of profits, regardless of whether such damages are caused or allegedly caused by breach of contract, tort or otherwise (including negligent or willful act or omission, warranty, indemnity, or strict liability). This agreement shall be governed by the laws of the Commonwealth of California without regard for conflict of laws doctrine. Participants agree that any legal action arising in connection with the Contest, whether in tort, contract, or otherwise, shall be heard exclusively in the courts of the Commonwealth of California.

Waiver of Jury: As a condition of participating in this contest, each Participant hereby irrevocably and perpetually waives any right that Participant may have to a trial by jury in respect of any litigation directly or indirectly arising out of, under, or in connection with the contest, any document or agreement entered into in connection with the contest, any prize available through the contest, and any of the transactions contemplated related to the contest.

Termination: Sponsor reserves the right, in their sole discretion, to cancel, modify, or suspend the any of The Smencil Company’s contests at any time.
